ONPOINT MANUFACTURING Terms and Conditions
- Acceptance of Terms: By accepting a quote, submitting a purchase order, or proceeding with services, you agree to be bound by these Terms and Conditions. These terms apply unless a separate written agreement overrides specific provisions.
- Payment Terms: Sales payment terms are as agreed with each customer and specified on the quote or invoice. For purchases from suppliers, standard terms are Net 30 days from the date of invoice unless otherwise negotiated.
- Late Payments: Any overdue amounts are subject to a late fee of 1.5% per month (or the maximum allowed by law) on the outstanding balance, plus all reasonable collection costs and attorney fees incurred in recovery.
- Scope of Services: All machining, fabrication, and related services are performed strictly according to the customer's provided drawings, specifications, and instructions. We do not assume responsibility for design.
- Warranty and Remedies: Parts are warranted to conform to the supplied specifications. Our sole liability and your exclusive remedy for nonconforming work is, at our option, to rework, replace, or refund the affected portion.
- Delivery: All delivery or completion dates are estimates based on current conditions and are not guaranteed. We will notify you promptly of any anticipated delays.
- Supplier Requirements: When purchasing materials or services, suppliers must meet all quality standards, provide necessary certifications, and maintain full material traceability as required by our quality system and customer needs.
- Order Changes: Any modifications to an order, including quantities, specifications, or delivery, must be submitted in writing and approved by us before implementation. Additional charges may apply.
- Governing Law: These terms and all transactions are governed by the laws of the State of Tennessee. Disputes shall be resolved in courts located in Tennessee.
- Entire Agreement: These terms, together with the specific quote or PO, constitute the full agreement. No other terms apply unless mutually agreed in writing.
